**Vendor Terms and Conditions** These Vendor Terms and Conditions ("Terms") govern the relationship between Sampark Sutra ("Service Provider") and the vendors ("Vendors") who use the Whatmeup platform dashboard to manage their business communications. By registering as a vendor and using the Whatmeup platform, you agree to be bound by these Terms. **1. Definitions** - **Service Provider**: Refers to Sampark Sutra, the owner and operator of the Whatmeup platform. - **Vendor**: Refers to the individual or entity that uses the Whatmeup platform dashboard. - **Services**: Refers to all features provided by Whatmeup, including but not limited to single send, agent support, API access, webhook integration, campaign management, and future updates. **2. Use of Platform** a. **Account Registration**: Vendors must register an account on the Whatmeup platform. All information provided during registration must be accurate and up-to-date. b. **Account Security**: Vendors are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account. Vendors must notify the Service Provider immediately of any unauthorized use of their account. c. **Prohibited Activities**: Vendors agree not to use the platform for any unlawful purpose or in a way that violates these Terms. Prohibited activities include, but are not limited to: - Engaging in fraudulent or deceptive practices - Interfering with the operation of the platform - Attempting to gain unauthorized access to any part of the platform **3. Payment Terms** a. **Fee Structure**: Vendors agree to pay the Service Provider a fee of INR 8,000 (Eight Thousand Rupees) for one year of usage of the Services. This fee covers all features provided by the dashboard, including any future updates and enhancements. b. **Payment Terms**: The fee must be paid in full at the beginning of the term. c. **Refunds and Disputes**: All fees are non-refundable unless otherwise stated. Any disputes regarding payments must be resolved in accordance with the dispute resolution process outlined by the Service Provider. **4. Confidentiality** Both Parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the term of their relationship, in accordance with the Non-Disclosure Agreement executed between the Parties. **5. Data Protection** a. **Data Security**: The Service Provider will implement appropriate safeguards to protect the confidentiality, integrity, and availability of the Vendor's data. b. **Data Usage**: The Service Provider may only use the Vendor's data for the purpose of providing the Services and must not share, sell, or disclose the Vendor's data to any third party without the Vendor’s explicit consent. **6. Modifications to Services** The Service Provider reserves the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. The Vendor agrees that the Service Provider shall not be liable to the Vendor or to any third party for any modification, suspension, or discontinuance of the Services. **7. Limitation of Liability** In no event shall the Service Provider be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, revenue, or data, arising out of or in connection with the use or performance of the Services. **8. Termination** a. **Termination by Service Provider**: The Service Provider may terminate the Vendor's access to the platform at any time, with or without cause, and with or without notice. b. **Termination by Vendor**: Vendors may terminate their relationship with the Service Provider by providing thirty (30) days' written notice. c. **Effect of Termination**: Upon termination, the Vendor must cease all use of the platform and return any confidential information to the Service Provider. **9. Governing Law** These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh, India. **10. Changes to Terms** The Service Provider reserves the right to update or modify these Terms at any time without prior notice. Your continued use of the platform following the posting of any changes constitutes acceptance of those changes. **11.
